# Exaveo Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Exaveo online learning platform at [https://www.exaveo.com\](https://www.exaveo.com) (“Exaveo” or the “Platform”). Exaveo combines digital content, including exercises and learning materials, with digital services, including progress tracking and automated assessment.

## 2. Scope and acceptance

These Terms apply to registered accounts, free functions, paid access plans, recurring subscriptions, uploaded work and other Exaveo services. Before registration or purchase, the user must actively accept the current Terms and Privacy Policy. Checkboxes requiring consent are not preselected.

The contract is concluded when Exaveo confirms a successful payment and activates paid access. For free accounts, the contract is concluded when registration is completed.

## 3. Eligibility and age

Exaveo is intended only for persons aged 18 or over. By registering or purchasing access, the user confirms that they are at least 18 and legally capable of entering into the contract. Exaveo may request reasonable evidence of age and may suspend or delete an account where the age declaration appears false.

## 4. Free access

Exaveo may provide:

- five free exercises without registration; and

- five additional free exercises after registration.

There is currently no free trial of a paid plan, no automatic conversion of free access into a paid subscription and no requirement to provide payment-card details for free access. Any future trial or promotional offer will be governed by the terms clearly displayed before activation.

## 5. Paid plans and access periods

Unless a different promotional price is clearly displayed at checkout, the current plans are:

- Monthly subscription: EUR 7.90 per month, automatically renewable;

- 90-day access: EUR 21.90 as a one-time payment; and

- 180-day access: EUR 39.90 as a one-time payment.

The total price and any applicable taxes are displayed before the order is placed. All currently available levels and examinations are included. The paid content available for the selected plan is unlocked immediately after successful payment. New materials added during the paid period are included unless they are expressly offered as a separate product or service.

The access period begins when payment succeeds. After paid access expires, the user’s stored progress remains linked to the account in accordance with the Privacy Policy, but paid materials and paid functions become unavailable until access is renewed.

## 6. Monthly subscription and recurring payments

The monthly plan renews automatically at EUR 7.90 per month until cancelled. The first successful payment creates the subscription. If the first payment fails, no subscription is created and the user must initiate a new payment.

WayForPay processes recurring payments. WayForPay normally sends a reminder one day before the next scheduled charge. If a renewal payment fails, WayForPay may make another attempt in accordance with its standard procedure. Exaveo does not promise a particular number or timing of retry attempts. Paid access may be suspended until payment succeeds. Exaveo will not charge a failed payment fee unless this is expressly disclosed and permitted by law.

The user may cancel at any time before the next charge. Cancellation takes effect at the end of the already-paid period, and access continues until then. Cancellation is available through the account and, where required by law, through an easily accessible online cancellation function without requiring login. Exaveo provides electronic confirmation of cancellation.

Deleting the app shortcut, ceasing to use the Platform or deleting a local cookie does not cancel a subscription.

## 7. Ordering and payment

Before the final order, the user can review the plan, duration, total price, renewal terms and payment method and correct input errors. The payment button clearly states that placing the order creates an obligation to pay.

Payments are handled by WayForPay or another payment provider displayed at checkout. Exaveo does not receive or store full card details. Access is activated automatically after the payment provider confirms successful payment.

## 8. Immediate performance and statutory withdrawal rights

Consumers may have a statutory right to withdraw from a distance contract, including a 14-day right under European consumer law. Mandatory rights applicable in the consumer’s country are not excluded by these Terms.

Because Exaveo provides immediate access, checkout contains a separate, mandatory and unselected checkbox through which the user:

1. expressly requests and agrees that Exaveo begins supplying the digital content and digital services immediately after successful payment and before the withdrawal period expires; and

2. acknowledges that, to the extent permitted by law, the right of withdrawal for digital content not supplied on a tangible medium is lost once supply begins.

Exaveo records the wording and version of the consent, date and time, user identifier, order number and version of these Terms. Immediately after purchase and before paid content is unlocked, Exaveo must provide a contract confirmation on a durable medium. Exaveo does this by automatically generating an order-specific, unchangeable PDF that the user can download and retain and that remains available in the account. The PDF includes the contract content and the recorded immediate-performance consent.

For any component legally classified as a digital service rather than digital content, consent to early performance has only the consequences provided by mandatory law. If a user validly withdraws after requesting early performance, the user may be required to pay the legally permitted proportionate amount for the service already supplied. Nothing in these Terms declares a statutory right lost unless every legal condition for that loss has been met.

The withdrawal notice and model withdrawal form appear at the end of these Terms.

## 9. Refunds

Exaveo does not provide a voluntary “change of mind” or satisfaction guarantee. No voluntary refund is due merely because the user:

- changed their mind;

- did not use the Platform;

- completed some or all materials quickly;

- is dissatisfied with a score or recommendation; or

- did not pass an official examination.

This does not limit mandatory consumer rights. Exaveo will correct or refund, as legally appropriate, a duplicate charge, a failure to provide purchased access, a material unresolved defect, or the permanent closure of the Platform. If Exaveo permanently closes during a prepaid period, the unused portion is refunded proportionally. Refund requests must be sent to info@exaveo.com with the account email and order number.

## 10. Account rules and security

An account is personal and may be used by one person only. Sharing, transferring, selling or publishing login credentials is prohibited. A user may sign in on more than one device, but only one simultaneous active session is permitted.

The user must provide accurate information, protect credentials and promptly report suspected unauthorised access. Exaveo may terminate other sessions or require a password reset to protect the account.

Exaveo may immediately suspend or terminate an account without prior warning for serious abuse, including account sharing, fraud, an abusive chargeback after access was supplied, piracy, resale or publication of materials, automated scraping, attacks, malware, interference with security, or a false age declaration. For a minor remediable breach, Exaveo will normally give a reasonable warning and opportunity to correct it. No voluntary refund is due after termination for a serious breach, without prejudice to mandatory rights.

## 11. Intellectual property and permitted use

Exaveo and its licensors retain all rights in the Platform, exercises, texts, recordings, designs, databases, software and learning materials. Paid access is a limited, personal, non-exclusive, non-transferable licence for the access period.

The user may download or print a material only where Exaveo displays a download link, and only for private learning. Private screenshots are permitted, but publication or distribution is prohibited. Screenshots and downloadable materials may contain a personalised watermark using a masked email address or account identifier to help identify unauthorised publication.

The user may not publish materials on Telegram, YouTube, TikTok, social networks or other sites; give them to another person; resell them; remove watermarks; reproduce a substantial part of the database; scrape, crawl or automatically extract content; use it to build a competing test bank; or bypass technical restrictions. Materials may be shown to an instructor only through an Exaveo function expressly intended for that purpose.

## 12. User submissions and files

Users may submit text, audio, photographs and documents for permitted learning functions. The user retains ownership of their submissions and confirms that they have the necessary rights and that the material is lawful and does not violate another person’s rights.

The user grants Exaveo a non-exclusive licence to host, reproduce, process and analyse the submission only as necessary to provide, secure and improve the service. Exaveo may use work internally in anonymised form to improve Exaveo. It will not use identifiable work in advertising or public examples and will not provide it for third-party general-purpose AI model training without separate consent.

## 13. AI assessment and instructor review

Automated assessment may provide recommendations and an approximate score. It can be incomplete or wrong and is not an official examination result. Exaveo does not guarantee admission to, performance in or success at any examination.

Paid access currently includes up to 20 AI assessments per each 30-day access period. For 90-day and 180-day plans, the allowance renews every successive 30-day segment of the access period and unused assessments do not roll over unless stated otherwise. Resubmitting the same work counts as a new assessment.

If offered, review by an instructor is a separate paid service unless the selected plan expressly includes it. Instructor feedback is an educational opinion, not a guaranteed prediction of an official examination result.

## 14. Technical availability

Exaveo supports current versions of Chrome, Safari and Firefox. Operation in outdated, modified or unsupported browsers is not guaranteed. The current mobile experience is a web application or home-screen shortcut, not necessarily a native mobile application.

Exaveo does not guarantee uninterrupted availability or a particular uptime percentage. It may perform maintenance, security work and updates. If an uninterrupted Platform-wide outage caused by Exaveo lasts more than 48 hours, Exaveo will reasonably extend affected paid access by the duration of the outage. This does not apply to a user’s device, browser, internet connection, third-party outage outside Exaveo’s reasonable control or scheduled maintenance announced in advance, subject to mandatory law.

## 15. Changes to the service, prices and Terms

Exaveo may add, replace or remove individual exercises and change test structure to improve the Platform, provided that the essential paid service is not materially reduced during an active prepaid period.

Material adverse changes to the service or these Terms will normally be announced at least 30 days in advance. Changes required by law, security or urgent technical reasons may take effect sooner. A price increase for a recurring subscription applies only to future renewal periods after advance notice and does not affect an already-paid period. Where required, Exaveo will obtain consent; otherwise, the user may cancel before the change takes effect.

## 16. Examination organisations and trademarks

Exaveo creates its own practice materials and does not reproduce official examination papers. Unless expressly stated otherwise, Exaveo is not an official examination centre, representative, sponsor or partner of Goethe-Institut, telc, ÖSD or any other examination organisation. Third-party names and trademarks are used only descriptively to identify examination formats or learning objectives and remain the property of their owners.

## 17. Support

Support is available at info@exaveo.com in Ukrainian, German, Russian and English. Exaveo aims to reply within 24 hours, including on weekends, but this is a target and not a guaranteed service level. Individual consultation is not included unless the selected plan expressly says so.

## 18. Liability

Nothing excludes liability that cannot legally be excluded, including liability for intentional misconduct, gross negligence, injury to life, body or health, fraud, or mandatory consumer remedies. Subject to mandatory law, Exaveo is not liable for indirect loss, loss of examination opportunity, loss caused by reliance on automated feedback, or issues caused by the user’s device, connection or unauthorised conduct.

## 19. Governing law and consumers

These Terms are governed by the laws of Ukraine. This choice does not deprive a consumer of mandatory protections granted by the law of the country in which the consumer habitually resides where those protections apply regardless of the chosen law. Consumers may bring claims in any court available to them under mandatory jurisdiction rules.

## 20. Language, severability and contact

The English version is the contract’s primary version and prevails to the extent legally permitted. Ukrainian, German and Russian translations are provided for convenience. This language clause does not override mandatory transparency or consumer-protection requirements, and a clearly conflicting local-language statement presented during checkout may be interpreted in the consumer’s favour.

If any provision is invalid, the remaining provisions remain effective. The invalid provision is replaced only to the extent permitted by applicable law. Questions and complaints may be submitted in Ukrainian, German, Russian or English to info@exaveo.com.

# Withdrawal Notice for Consumers

## Right of withdrawal

Where the law applicable to you grants a right of withdrawal, you generally have 14 days to withdraw from a distance contract without giving a reason. The period generally begins on the date the contract is concluded.

You may use the model form below, but it is not compulsory. It is sufficient to send the notice before the withdrawal period expires.

## Consequences of withdrawal

If withdrawal is valid, Exaveo refunds payments that must legally be refunded, using the same payment method unless otherwise agreed, without undue delay and no later than the applicable statutory deadline.

If you expressly requested that a digital service begin during the withdrawal period, you may owe a proportionate amount for the service supplied before you notified Exaveo of withdrawal, where the law allows this.

For digital content not supplied on a tangible medium, the right of withdrawal may expire when supply begins if you expressly consented to immediate supply, acknowledged the loss of the right and Exaveo provided the required contract confirmation on a durable medium.
